Dıstance Sales Agreement

PARTIES AND SUBJECT
This agreement governs the purchase of products (hereinafter referred to as PRODUCTS) from the website www.sudabasics.com (hereinafter referred to as WEBSITE) between the buyer (hereinafter referred to as BUYER) and the seller company SUDABASICS (hereinafter referred to as SELLER). The order form filled out electronically by the BUYER specifies the features, quality-quantity, sales price, payment terms, and sales date of the PRODUCT, and determines the rights, legal obligations, and responsibilities of the parties within the scope of the Law on Consumer Protection and the Regulation on Distance Contracts. The announced prices and promises are valid until updated or changed. Periodic prices are valid until the specified period ends.

ARTICLE 1. RIGHT OF WITHDRAWAL
SELLER hereby commits to the BUYER (Consumer) as follows: “The consumer has the right to withdraw from the contract within seven days from the date of delivery or signing the contract without any legal or penal responsibility and without giving any reason by rejecting the goods or services and notify the seller or provider, who shall undertake to take back the goods from the date the withdrawal notification is received.”

To exercise the right of withdrawal, written notice must be given to the SELLER within this period. Upon exercising this right, the original invoice and the cargo delivery receipt proving that the PRODUCT has been sent back to the SELLER must be submitted. The product price will be refunded to the BUYER within 10 (ten) days following the receipt of these documents. Refunds for credit card payments will be made back to the BUYER’s credit card. If the original invoice is not provided due to tax regulations, VAT and other legal obligations cannot be refunded. Shipping costs for the returned product shall be borne by the BUYER.

If the PRODUCT is produced or customized upon BUYER’s special requests or cannot be returned due to its nature, or if it is perishable or close to expiration, or if cosmetics or similar products have been opened, the BUYER cannot exercise the right of withdrawal.

ARTICLE 2. GENERAL PROVISIONS
2.1. The BUYER acknowledges having read and understood the basic characteristics, sales price, payment method, and delivery information of the products displayed on the WEBSITE, and confirms the sale electronically.

2.2. The PRODUCT will be delivered to the address specified by the BUYER on the WEBSITE, packaged with its invoice, intact, within a maximum of 30 days, extendable if necessary.

2.3. If the PRODUCT is to be delivered to a person or entity other than the BUYER, the SELLER shall not be held responsible if that person or entity refuses the delivery.

2.4. The BUYER is responsible for inspecting the PRODUCT upon delivery and refusing it if there are any issues due to shipping, documenting the issue with the courier. Otherwise, the SELLER shall not accept responsibility.

2.5. Upon request, the BUYER must sign a printed copy of this Agreement at delivery; failure to sign may result in non-delivery. The electronically approved Agreement during the purchase on the WEBSITE remains valid in all cases.

2.6. Unless otherwise stated in writing by the SELLER, the BUYER must have fully paid the PRODUCT price before delivery. If payment is not made prior to delivery, the SELLER may unilaterally cancel the contract and withhold delivery.

2.7. If the issuing bank or financial institution of the credit card used fails to pay the PRODUCT price to the SELLER after delivery for any reason, the PRODUCT must be returned by the BUYER to the SELLER within 3 days at the BUYER’s expense. The SELLER’s rights to collect the PRODUCT price and all other contractual and legal rights remain reserved.

2.8. In case of extraordinary circumstances (such as bad weather, earthquake, flood, fire) preventing delivery within 30 days and delay exceeding 10 days, the SELLER will notify the BUYER.

2.9. The BUYER can submit requests and complaints regarding the PRODUCT and sales via email at hello@sudabasics.com.

ARTICLE 3. EVIDENCE AGREEMENT AND COMPETENT COURT
Records of the SELLER (including magnetic records such as computer and audio recordings) shall be conclusive evidence in resolving disputes arising from or related to this Agreement. Consumer Arbitration Committees have jurisdiction up to the value announced by the Ministry of Science, Industry and Technology. Beyond that, Consumer Courts and Enforcement Offices at the places of residence of the BUYER and SELLER have jurisdiction.

The BUYER declares, accepts, and undertakes that they have read all the terms and explanations written in this Agreement and the inseparable order form, have received and examined the sales conditions and all other preliminary information, and fully agree with them.
